1. Agreement

These Terms & Conditions (“Terms”) govern your access to and use of Circles — including the Circles mobile application, the website at circles.bar, and related services (together, the “Service”). The Service is operated by Circles (“Circles,” “we,” “us,” or “our”).

By downloading, accessing, or using the Service, you agree to these Terms and to our Privacy Policy and Refund Policy. If you do not agree, do not use the Service.

2. What Circles is

Circles is a proximity-based social network designed for real-life moments nearby — not permanent feeds, follower graphs, or attention-based advertising. Core features may include:

• Nearby discovery of people, places, events, and community activity within a limited radius
• Ephemeral posts and stories that expire after a short period (typically about six hours, unless extended by a paid pin or similar feature)
• A Social Score reflecting Respect and Disrespect from other users
• CIRCA, Circles’ in-app digital reward / currency used for features such as pins, transfers, AI tools, Premium benefits, and other in-app uses we may offer
• Optional Premium / “Golden Theme” benefits tied to qualifying CIRCA purchases

Features, pricing, radii, expiry windows, and reward formulas may change as we improve the product. Some features described on our marketing site may be priced, previewed, or not yet live.

3. Eligibility & accounts

You must be able to form a binding contract in your jurisdiction and meet any minimum age required by App Store / Google Play rules and applicable law (and in any case not younger than 13, or the higher age required where you live).

You are responsible for your account credentials, device access, and all activity under your account. Provide accurate information and keep it updated. You may request account deletion as described in the Privacy Policy and in-app settings.

4. Acceptable use

You agree not to:

• Harass, threaten, stalk, defame, or harm others, or post illegal, hateful, exploitative, or sexually explicit content involving minors
• Impersonate others, misrepresent location or identity, or manipulate Social Score, Respect/Disrespect, referrals, or CIRCA balances through fraud, bots, fake accounts, or coordinated abuse
• Scrape, reverse engineer, interfere with, or overload the Service, or bypass safety, rate limits, or access controls
• Use Circles for spam, unauthorized advertising, scams, or commercial activity that violates these Terms or applicable law
• Share others’ private information without permission, or use location-related features to stalk or endanger anyone

We may remove content, limit features, reset scores or wallets (where fraud is involved), suspend, or terminate accounts that violate these Terms or create risk for users or Circles.

5. Content & ephemeral posts

You retain ownership of content you create. By posting, you grant Circles a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute that content solely as needed to operate and improve the Service (including nearby delivery and short-lived display).

Circles is built around ephemerality. Ordinary posts and stories are designed to disappear after a limited time (about six hours by default). Paid pins or similar features may keep content visible only for the duration you purchase. When content expires or is deleted, we aim not to keep a permanent public archive — subject to backups, safety review copies, legal holds, and technical limits described in the Privacy Policy.

You are solely responsible for your content and for having the rights to share it. We do not endorse user content.

6. Social Score

Social Score is a reputation signal influenced by Respect and Disrespect from other users. Your own votes do not change your score. Score ranges, growth difficulty, visual themes, ranking effects, and monthly CIRCA rewards are defined by Circles and may be adjusted for fairness, anti-abuse, or product reasons.

Social Score is not a credit score, financial rating, or guarantee of any offline outcome. We may correct obvious errors or abuse-driven distortions.

7. CIRCA & Premium

CIRCA is Circles’ native in-app unit used inside the Service. It may be earned (for example welcome rewards, referrals, monthly Social Score distributions), purchased or topped up where available, received via peer-to-peer transfer, or spent on in-app features (such as pinning, AI image generation, promotions, or other tools we enable).

Unless we expressly state otherwise in writing, CIRCA is not legal tender, is not a bank deposit or e-money product, has no guaranteed cash redemption value, and may not be exchangeable for fiat outside the Service. Any USD-equivalent figures shown for top-ups or marketing are pricing references for in-app purchase of CIRCA or features — not a promise of withdrawable balance.

Premium / Golden Theme benefits (for example score-growth or reward multipliers) may unlock when you make a qualifying CIRCA purchase in a single transaction (such as a minimum purchase threshold we publish) and typically remain active until the end of that calendar month (UTC), unless we state otherwise. Benefits and thresholds can change with notice in-app or on our site.

We maintain ledgers of CIRCA movements for integrity, fraud prevention, and support. We may reverse fraudulent, erroneous, or abusive transactions. Failed AI generations that we confirm as system failures are typically refunded in CIRCA as described in-app and in the Refund Policy.

8. Location & safety

Nearby features need approximate, point-in-time location to show what is around you. You control OS-level location permissions. Do not rely on Circles for emergency services. Meet people and visit places at your own judgment and risk; practice ordinary offline safety.

9. Third-party stores & services

If you download Circles from Apple App Store or Google Play, those platforms’ terms also apply. In-app purchases processed by Apple or Google are additionally subject to their billing and refund rules. Links to third-party sites or services are not under our control.

10. Intellectual property

The Circles name, logos, app design, CIRCA branding, and Service software are owned by Circles or its licensors. You may not copy, modify, or create derivative works except as allowed by these Terms or applicable open-source licenses.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, perfect location accuracy, or that Social Score or CIRCA economies will remain unchanged.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRCLES AND ITS TEAM WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR CIRCA VALUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CIRCLES FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $50.

Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent allowed.

13. Indemnity

You will defend and indemnify Circles against claims arising from your content, your misuse of the Service, or your violation of these Terms or others’ rights, except to the extent caused by our willful misconduct.

14. Suspension & termination

You may stop using Circles at any time and request account deletion. We may suspend or end access if you breach these Terms, if required by law, or if we discontinue the Service. Provisions that by nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive termination.

15. Changes

We may update these Terms. The “Last updated” date will change when we do. Continued use after changes become effective constitutes acceptance. Material changes may also be highlighted in-app or by email where appropriate.

16. Governing law

These Terms are governed by the laws applicable in our principal place of business, without regard to conflict-of-law rules, unless mandatory consumer protections in your country require otherwise. Courts in that jurisdiction will have exclusive venue for disputes that cannot be resolved informally, subject to your non-waivable local rights.
